Vendor Waiver

Terms and conditions outlined herein have been established for the mutual benefit and protection of all Vendors, Visitors, and Event Organizers and may not be modified unless in writing signed by both parties. The Vendor agrees to these terms and conditions as an integral part of this binding contract. Please read carefully to avoid any misunderstandings.  

Virtual Vendor Marketplace Breakout Room: Breakout room must staffed throughout the length of time allotted. Vendor is to promote the company on file. Vendors may not display any offensive products and/or signage. Vendor may not sell/promote any type of adult toy.

In Person-Exhibit Booth: Assignments of vendor space will be assigned by WEC. No booth sharing, transferring, or altering of original products or services as listed on this form after acceptance into the show. All booths must remain assembled and staffed throughout event hours until the official closing time. If a vendor fails to occupy space contracted for or should vendor’s display or materials fail to arrive, vendor will not be relieved of the obligation of paying full rental charge for space. Vendors may not pin or tape anything to facility walls. Blocking aisles with any displays, stands, or acts of soliciting is prohibited. Vendor must purchase electrical outlet access in advance if available. If purchased, Vendors are responsible for providing their own electrical cords. Vendor may not use glitter or confetti at vendor’s booth. Food may not be sold. Vendor’s area must be clean at the closure of event, or vendor will be charged $25 cleaning fee. Vendors may not display any offensive products and/or signage. Vendor may not sell any type of adult toy at the event.

Payments: All payments are to be made in full to WEC prior to event. Payments received are non-refundable and non-transferable.

Licenses, Insurance, Permits: Vendors are fully responsible for obtaining all licenses, insurance or permits required and adhering to all applicable laws, ordinances, and statues. Permits include, but are not limited to, a sales tax permit, as well as food/health permits.

Limitation on Liability: Vendor is responsible for any charges concerning your booth. Participating vendor releases WEC from any liability and waives a) any and all demands, claims, and causes of action in law or in equity, related to any defect, deficiency, failure or impairment of utilities or other facilities; b) the conduct, negligence or claims of any vendor or attendee; and c) any fire, flood, strike, terrorist attack, weather or other force nature beyond control of WEC Vendors display and exhibit property at their own risk.

Indemnification: WEC will not be held accountable for the death or injury of any person attending an event, or for any damages suffered by vendor or its officers, agents, employees, or invitees as a result of any cause whatsoever. Vendors shall indemnify and hold WEC, its parent, subsidiaries, affiliates, sponsors, and their respective officers, directors, agents and employees harmless from any suit or claim arising out of any action or failure to act by the Vendor. WEC does not assume any responsibility for loss or damage to Vendors property. Vendor shall be liable for any and all damages caused by Vendor to the event building’s grounds, landscaping, floors, walls, columns, or any other part of the building, or to the chattels and fixtures of the building or any other Exhibitor or person or entity having property at the events building’s premises. Vendors are advised to obtain insurance coverage for this risk.

Cancellation: Women Empowering Change (WEC) reserves the rights to cancel, change event location, date, and time at any time prior to the date of the event with transfer of booths paid by participants to WEC in connection with this Agreement to the next expo. No refunds will be given.

No Guarantee of Results: WEC does not guarantee any particular results of the event, nor does it guarantee a particular number of attendees or vendors.

WEC Authority: WEC reserves the right to substitute alternate dates and/or facilities other than those originally planned for a particular event prior to the event. Vendor, also hereby grants WEC permission to use Vendors name and/or logos for promotional purposes in connection with all events produced by WEC This permission shall extend to photographs of the Vendor and Vendor’s Booth.

Additional Event Information: Set-up & Breakdown times and any additional vendor information will be emailed closer to the date of the event. Any Company Branded promotional material submitted after the deadline given will not be entered into the bags.

Complete Agreement: This agreement represents the entire agreement between the parties and supersedes all communications, understandings, or agreements, if any expressed or implied, whether written or verbal. WEC has made and makes no representation of any kind except those specifically set forth herein.
